Solas Lens Royalty-Free Licence Agreement

1. Grant of Licence

Solas Lens ("Licensor") grants to the purchaser or client ("Licensee") a non-exclusive, non-transferable, royalty-free, worldwide licence to use the footage and/or photographs ("Content") produced for the specific project identified in the accompanying digital folder, invoice or agreement ("Project"). The Licensee may use the Content for the following purposes:

• Permitted Uses:
  
  

  • Commercial and non-commercial advertising

  • Marketing and promotional materials

  • Websites and social media

  • Internal presentations

  • News and editorial content

  • Media production and editing

  • Any prior agreed use case

• Prohibited Uses:
  
  

  • Resale or redistribution of the Content as standalone stock footage or photographs

  • Use of the Content in a defamatory, obscene, or illegal manner

  • Incorporation into a logo, trademark or any other identifying mark

  • Use of the Content in training datasets for artificial intelligence or machine learning models

  • Use in pornographic, violent, or hateful content

  • Use in a template or format for resale

2. Licence Term

The licence granted herein shall commence on the date of delivery of the Content and shall continue perpetually unless terminated earlier as provided herein.

3. Termination

This licence may be terminated by Licensor immediately upon written notice if Licensee breaches any of the terms of this Agreement. Upon termination, Licensee shall cease all use of the Content and destroy all copies in its possession.

4. Ownership

Licensor retains all ownership rights in the Content, including copyright and all other intellectual property rights. This Agreement does not constitute a transfer of ownership.

5. Warranty and Liability

Licensor warrants that it has the right to grant this licence and that the Content does not infringe on the intellectual property rights of any third party. Licensor's liability for any breach of this warranty shall be limited to the amount paid by Licensee for the Content.

6. Indemnification

Licensee shall indemnify and hold Licensor harmless from any claims, damages, or expenses arising from Licensee's use of the Content in a manner that exceeds the scope of this licence or violates any applicable laws.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Scotland.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations or understandings, whether oral or written.

9. Modifications

This Agreement may not be modified except in writing signed by both parties.

10. Credit

Licensee agrees to provide credit to Solas Lens whenever the Content is used, in a manner and location reasonably determined by Licensee to be appropriate to the medium of use.

11. Exclusivity

If agreed prior in writing, Licensor may grant Licensee exclusive use of the Content.

12. Marketing

Licensor reserves the right to use the Content for marketing and promotional purposes related to Solas Lens's services. This includes, but is not limited to, the use of the Content on Solas Lens's website, social media channels, portfolios, and other marketing materials. For non-identifiable Content, Licensee consents to such use and waives any right to additional compensation or approval for such use. For identifiable Content such as people and private property, the Licensor agrees to seek prior permission from the Licensee.

By purchasing the Content or hiring Solas Lens, Licensee acknowledges that it has read, understood, and agreed to be bound by the terms of this Licence Agreement.
